Welcome to Vulee. Please read these Terms of Service ("Terms") carefully before using the Vulee mobile application, the website at vulee.app, and any related services (together, the "Service"). These Terms are a legally binding agreement between you ("you" or "your") and Chris Johnson and Ashley Wolfe, doing business as Vulee ("Vulee," "we," "us," or "our").
BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Acceptance of Terms
By creating an account or using the Service in any manner, you represent that: (a) you have read and agree to these Terms; (b) you are at least 13 years of age, or such higher age as required in your jurisdiction; (c) you have the legal capacity to enter into a binding agreement; and (d) if you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms.
2. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting a notice within the Service, by email to your registered address, or by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
3. Eligibility & Account Registration
(a) Minimum age. You must be at least 13 years old to use the Service. Users between 13 and 18 must have parental or guardian consent.
(b) Jurisdictional age requirements. Users in jurisdictions where the minimum age for digital services is higher than 13 must meet their local minimum age.
(c) Account information. You must provide accurate, complete, and current information when creating your account, and keep it up to date.
(d) Account security. You are responsible for keeping your credentials confidential and for all activity under your account.
(e) One account per person. You may not create more than one account, impersonate another person, or create an account for anyone else without their explicit permission.
(f) Refusal of service. We may refuse registration or terminate accounts at our sole discretion.
4. Description of Service
Vulee is a live music video archive and fan community. The Service allows you to:
- Record, upload, store, and share videos from live music events and concerts
- Organize your videos into an archive by artist, venue, and show
- Check in at live shows using the Jam feature to connect with other attendees
- Interact with other fans through Beam Note reactions and community features
We may add, change, or remove features at any time. Some features described here may not be available at all times or in all regions.
5. User Content
5.1 Your content
The Service allows you to upload, post, store, share, and display videos, images, text, and other content ("User Content"). You retain all ownership rights in your User Content. By uploading User Content, you grant Vulee the license described in Section 5.2.
5.2 License grant to Vulee
By uploading User Content, you grant Vulee a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to:
- Store, reproduce, distribute, and transmit your User Content to provide the Service
- Display your User Content within the Service to you and to other users in accordance with your privacy settings
- Create thumbnails, previews, and technical copies necessary to operate the Service
- Use your User Content to improve and develop the Service, in anonymized or aggregated form
This license is limited to operating, developing, and improving the Service. We do not sell your User Content to third parties.
5.3 Content representations
By uploading User Content, you represent and warrant that:
- You own or have the necessary rights and permissions to upload the content
- Your content does not infringe the intellectual property rights of any third party
- You have obtained all necessary consents from individuals appearing in your content
- Your content does not violate these Terms or any applicable law
- You understand that concert venues and artists may have filming restrictions, and you are solely responsible for complying with them
5.4 Content removal
We reserve the right, but not the obligation, to remove or restrict access to any User Content that we determine, in our sole discretion, violates these Terms, our Community Guidelines, or applicable law. We will make reasonable efforts to notify you of content removal.
6. Acceptable Use Policy
You agree not to use the Service to:
- Upload, post, or share content that infringes any copyright, trademark, or other intellectual property right
- Upload, post, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Upload content depicting sexual exploitation of minors, or any content that sexualizes minors in any way
- Harass, bully, intimidate, or stalk any individual
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity
- Upload or distribute malware, viruses, or any other malicious code
- Scrape, crawl, or use automated means to access the Service without our written permission
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Use the Service for any commercial purpose without our prior written consent
- Violate any applicable local, state, national, or international law or regulation
There is no tolerance for objectionable content or abusive behavior on Vulee. You can report any video or user from within the app, and you can block any user at any time. We review reports and remove violating content and terminate offending accounts, typically within 24 hours of a report. If you believe content on Vulee violates these Terms, report it in the app or email support@vulee.app.
7. Community Guidelines
Vulee is a community built around a shared love of live music. We expect all users to treat each other with respect. Key principles:
- Celebrate live music and support fellow fans
- Share only content from shows you personally attended or have rights to share
- Respect artists, venues, and other fans
- Do not share misleading or false information about shows, artists, or other users
- Report content that violates these guidelines using the in-app reporting tools
8. Subscriptions & Payments
Vulee is currently free to use. We do not charge for the Service and do not collect payment information at this time.
We may introduce paid subscription tiers in the future. If we do, we will update these Terms and give you notice before any charges apply. Any paid subscriptions offered through the Vulee iOS app will be processed by Apple through in-app purchase and will be subject to Apple's terms, including billing, renewal, and refunds. You will always be told the price and billing frequency before you are charged, and you will never be charged without opting in.
9. Intellectual Property
9.1 Vulee's IP
The Service — including all software, designs, graphics, text, logos (including the Vulee name and V logo), the Jam feature, the Beam Note interaction, and all other content and materials — is owned by Vulee and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any Vulee IP without our express written permission.
9.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.
10. Copyright & DMCA
We respect intellectual property rights and expect our users to do the same. Our complete DMCA Copyright Policy explains how to report infringement and how to file a counter-notification. If you believe your copyrighted work has been infringed, contact our designated agent at dmca@vulee.app.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described there.
12. Third-Party Services & Links
The Service may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to those services' terms.
13. Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
VULEE DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES; OR (D) THE SERVICE WILL MEET YOUR REQUIREMENTS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VULEE OR ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF VULEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL VULEE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO VULEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
15. Indemnification
You agree to indemnify, defend, and hold harmless Vulee and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable law.
16. Dispute Resolution & Arbitration
16.1 Informal resolution
Before initiating any formal dispute, you agree to contact us at legal@vulee.app and attempt to resolve the dispute informally for at least thirty (30) days.
16.2 Binding arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except for disputes that qualify for small claims court. The arbitration shall be conducted in Chicago, Illinois or, at your election, by telephone or video conference.
16.3 Class action waiver
YOU AND VULEE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Vulee agree otherwise, the arbitrator may not consolidate more than one person's claims.
16.4 Governing law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. You consent to the personal jurisdiction of the state and federal courts located in Cook County, Illinois for any matters not subject to arbitration.
17. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violations of these Terms. Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete your account and User Content subject to our data retention policies; and (c) all provisions of these Terms that by their nature should survive termination shall survive.
18. General Provisions
(a) Entire agreement. These Terms constitute the entire agreement between you and Vulee regarding the Service.
(b) Severability. If any provision is found invalid, the remaining provisions remain in effect.
(c) No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
(d) Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
(e) Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
(f) Headings. Section headings are for convenience only and have no legal effect.
